These Terms of Service (these “Terms”) form a legally binding agreement between Hockey Therapy and the person or entity that clicks to accept them or otherwise accesses or uses the Hockey Therapy website, portal, mobile features, video library, live sessions, messaging features, digital content, and related products and services (collectively, the “Platform”). By clicking “I Agree,” “Create Account,” “Subscribe,” or a similar assent button, or by accessing or using the Platform after being presented with these Terms, you agree to be bound by these Terms. If you do not agree, do not access or use the Platform.
You may use the Platform only if you can form a binding contract under applicable law or, if you are a minor, if your parent or legal guardian has provided any consent required by law and accepted these Terms on your behalf. If you register or subscribe on behalf of a child, another individual, a team, or an organization, you represent and warrant that you are authorized to do so and to bind that person or entity to these Terms. You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account. You must provide accurate, current, and complete profile and payment information and promptly update such information if it changes.
The Platform may be offered through recurring subscriptions, one-time purchases, group plans, or other paid offerings. Unless otherwise stated at the time of purchase, subscriptions automatically renew for successive billing periods until canceled. You authorize Hockey Therapy and its payment processors to charge the payment method on file for all fees, taxes, and other amounts due. Fees are non-refundable except as required by law or as expressly stated in these Terms or in an applicable order form. Hockey Therapy may change pricing prospectively by providing advance notice, and any change will apply at the start of a new renewal term unless otherwise required by law.
Subject to your compliance with these Terms, Hockey Therapy grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal, internal, non-commercial development and training purposes during an active subscription term. Except as expressly permitted by Hockey Therapy in writing, you will not: copy, reproduce, distribute, publicly display, publicly perform, publish, sell, lease, sublicense, or exploit the Platform or any content; share accounts or login credentials; circumvent access controls; scrape, mine, or harvest data; reverse engineer or attempt to derive source code; interfere with the Platform’s operation or security; upload malicious code; or use the Platform to build or train a competing product or service.
The Platform is intended to provide hockey education, player development content, coaching insight, accountability tools, and general mental performance information. The Platform is not a medical device or healthcare service and does not provide medical advice, diagnosis, treatment, psychotherapy, crisis counseling, or emergency services. Nothing on the Platform is intended to replace qualified medical, psychological, psychiatric, therapeutic, legal, or other professional advice. Always seek the advice of an appropriately qualified professional regarding any physical injury, mental health concern, or other condition. If you believe you or your child may be experiencing a medical or mental health emergency, call 911 or your local emergency provider immediately.
You agree to use the Platform lawfully, respectfully, and in a manner consistent with a player-development environment. You will not post, transmit, or otherwise make available any content or conduct that is unlawful, fraudulent, defamatory, infringing, abusive, threatening, harassing, hateful, exploitative, sexually explicit, or otherwise objectionable; impersonate any person or entity; invade another person’s privacy; solicit or collect credentials or personal information from others except as authorized; or use the Platform in a manner that could harm minors, other users, or Hockey Therapy. Hockey Therapy may monitor for compliance, investigate suspected violations, and remove content or restrict access in its discretion, but it is not obligated to do so.
If you submit, upload, post, message, or otherwise make available any text, images, video, audio, comments, testimonials, questions, suggestions, or other materials through the Platform (“User Content”), you retain ownership of your User Content, subject to the rights granted below. You grant Hockey Therapy a non-exclusive, worldwide, royalty-free, transferable, sublicensable license during the term of your use and for a reasonable period thereafter to host, store, reproduce, modify for technical formatting, display, perform, distribute, and otherwise use your User Content as reasonably necessary to operate, improve, secure, support, promote, and provide the Platform, and to comply with law. If you provide suggestions or feedback, Hockey Therapy may use them without restriction or obligation. You represent and warrant that you have all rights necessary to submit the User Content and to grant the foregoing license.
The Platform, including all software, audiovisual works, training materials, video breakdowns, lesson structures, branding, graphics, text, and other content made available by Hockey Therapy (excluding User Content), together with all related intellectual property rights, are and remain the exclusive property of Hockey Therapy and its licensors. No rights are granted except as expressly stated in these Terms. Any unauthorized use of the Platform or content may violate intellectual property and other laws.
Hockey Therapy may be used by or for the benefit of youth players. If a user is under the age of 18, the user may access or use the Platform only with the involvement of a parent or legal guardian to the extent required by applicable law. If a user is under 13, a parent or legal guardian must provide verifiable parental consent before any collection, use, or disclosure of the child’s personal information, except to the limited extent permitted by applicable law. Hockey Therapy may use consent and verification methods reasonably calculated, in light of available technology, to verify that the person providing consent is the child’s parent or legal guardian, and may require additional information or steps as reasonably necessary to support that verification and compliance with applicable law. Any parent or legal guardian who creates, authorizes, or maintains an account for a child represents and warrants that they are the child’s parent or legal guardian, are authorized to provide the required consent, consent to the child’s use of the Platform, and accept responsibility for the child’s acts and omissions on the Platform. Parents may request review, correction, deletion, or cessation of further collection of a child’s personal information, subject to applicable law and operational requirements. Hockey Therapy may suspend or terminate accounts, require additional consent steps, or limit features for child or teen users to support compliance with applicable privacy and youth-protection laws. Hockey Therapy may rely on statements made by user without obligation to verify same.
Your use of the Platform is also subject to Hockey Therapy’s Privacy Policy, which describes how personal information is collected, used, disclosed, retained, and protected. To the extent the Platform processes children’s or teens’ data, Hockey Therapy intends to apply age-appropriate privacy practices, including data minimization, retention limits, parental controls where required, and restrictions on disclosures not integral to providing the service, in each case as required by applicable law. You acknowledge that electronic communications and internet-based services may not be completely secure and that no method of transmission or storage can be guaranteed to be absolutely secure.
The Platform may integrate with or enable access to third-party services, payment processors, communication tools, streaming tools, or external content. Hockey Therapy does not control and is not responsible for third-party services or content. Your use of third-party services may be subject to separate terms and privacy notices between you and the applicable third party.
Hockey Therapy may suspend, restrict, or terminate your access to the Platform, in whole or in part, with or without notice, if Hockey Therapy reasonably believes you have violated these Terms, created risk or potential legal exposure, failed to pay fees when due, or if suspension is necessary to protect users, minors, Hockey Therapy, or the Platform. You may cancel your subscription at any time through the account settings or the method specified at sign-up, and cancellation will take effect at the end of the current paid term unless otherwise stated. Upon termination, the license granted to you under these Terms ends immediately, but provisions that by their nature should survive will survive.
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOCKEY THERAPY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR ACHIEVE ANY PARTICULAR RESULT. HOCKEY THERAPY DOES NOT GUARANTEE ATHLETIC, DEVELOPMENTAL, RECRUITING, EDUCATIONAL, OR OTHER OUTCOMES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOCKEY THERAPY AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND THEIR RESPECTIVE OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR USE, ARISING OUT OF OR RELATED TO THE PLATFORM OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF HOCKEY THERAPY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO HOCKEY THERAPY FOR THE PLATFORM IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Hockey Therapy and its affiliates, licensors, service providers, and their respective owners, directors, officers, employees, contractors, and agents from and against any claims, actions, demands, investigations, liabilities, damages, judgments, settlements, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your or your child’s use of the Platform; (b) your User Content; (c) your breach of these Terms; (d) your violation of applicable law; or (e) your infringement or misappropriation of any intellectual property, privacy, publicity, or other rights of any person or entity.
Except to the extent prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform must be brought exclusively in the state or federal courts located in Davidson County, Tennessee, and each party irrevocably consents to the personal jurisdiction and venue of those courts. You and Hockey Therapy waive any right to participate in a class action, class arbitration, or representative proceeding. These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles, except to the extent preempted by federal law or prohibited by applicable consumer protection law. If the account holder is a minor, any required parental or guardian participation in dispute resolution will apply.
Hockey Therapy may modify the Platform or these Terms from time to time. Material changes will be communicated by reasonable means, such as posting an updated version, in-product notice, or email. To the extent permitted by law, changes will become effective on the stated effective date. If you do not agree to the revised Terms, you must stop using the Platform before the revised Terms take effect. Your continued use of the Platform after the effective date of revised Terms constitutes acceptance of the revised Terms.
These Terms constitute the entire agreement between you and Hockey Therapy regarding the Platform and supersede any prior or contemporaneous understandings on that subject, except for any separate written order form or enterprise agreement signed by both parties, which will control in the event of a conflict. If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Hockey Therapy’s failure to enforce any provision is not a waiver. You may not assign these Terms without Hockey Therapy’s prior written consent. Hockey Therapy may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets. The headings in these Terms are for convenience only and have no legal effect.
